PLEASE READ THESE PROMOTION TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING. BY PARTICIPATING IN THE PROMOTION, YOU WILL BE DEEMED TO HAVE ACCEPTED AND AGREED TO THESE TERMS & CONDITIONS. AMONG OTHER THINGS, THESE TERMS & CONDITIONS INCLUDE LIMITATIONS OF YOUR RIGHTS AND REMEDIES.

Introduction
1.1 Limited Time Offer: From July.24.2024, 12:01 AM EST to December.31.2024, 11:59 PM EST (the “Promotion Period”), and per these Terms & Conditions. If you meet the Eligibility Criteria and successfully complete an Eligible Transaction on the Chelsea Megastore Website using the Promotion Code, and using your Skrill USA Wallet Account as the payment method, where the total basket price for the single transaction is equal to or exceeds a minimum of one hundred U.S. dollars ($100 USD) (before taxes, shipping or other charges), Skrill USA Inc. (“Skrill USA”) will deposit a one-time fixed reward of ten U.S. dollars ($10 USD) (the “Reward”) by in-account credit, into your Skrill USA Account.
1.2. Except as otherwise expressly set forth herein, these Promotion Terms & Conditions shall be read together and interpreted in conjunction with the Skrill USA Account Terms of Use. In the event of any conflict or inconsistency, these Promotion Terms & Conditions shall prevail (only to the extent of the conflict or inconsistency).

2. The Promotion - How it Works
2.1. A Skrill USA Account holder must complete an Eligible Transaction during the Promotion Period to receive the Reward. Each Skrill Account holder may earn the Reward only once – upon successfully completing a one-time single transaction on the Chelsea Megastore Website using the Promotion Code, where the total basket price for the single transaction is equal to or exceeds a minimum of one hundred U.S. dollars ($100 USD) (before taxes, shipping or other charges), and which meets the Eligibility Criteria (an “Eligible Transaction”). Even if you carry out more transactions thereafter, you will not earn more Reward amounts.
2.2. In order to receive the Reward pursuant to this Promotion, a Participant must successfully insert the designated Promotion Code as part of the Eligible Transaction during the Chelsea Megastore check-out process using your Skrill USA Wallet Account as the method of payment, as follows:

Insert promotional code “CHELSEA10” during the check-out process from the Chelsea Megastore, for Skrill USA Accounts with a registered address in the United States.
2.3. A Skrill USA Account holder who successfully completes an Eligible Transaction during the Promotion Period will receive a one-time fixed Reward amount of ten U.S. dollars ($10 USD) by in-account credit, deposited by Skrill USA into their Skrill USA Wallet Account.
2.4. Skrill USA shall deposit the Reward directly into the respective Skrill USA Wallet Account as an in-account credit to each respective Participant who successfully completes the requisite Eligible Transaction and meets all of the Eligibility Criteria and any restrictions set forth in these Terms & Conditions. Skrill USA will deposit the Reward in the respect Participant’s Account within ten (10) days of completion of the Eligible Transaction, without further notice or request to such respective Participant. Skrill USA reserves the right to extend the payment term in the event of technical issues or other circumstances beyond Skrill USA's reasonable control. Skrill USA reserves the right to delay or withhold the Reward in case of suspected fraud, abuse, or violation of the Terms & Conditions of this Promotion, in Skrill USA’s sole discretion.
3. Eligibility Criteria
3.1. In order to participate in the Promotion and receive the Reward, Participant must meet all of the criteria defined and set forth below. A Participant must:
3.1.1. have a registered account or create a new registered account with Skrill USA in accordance with the Skrill USA Account Terms of Use (“Account” or “Wallet Account”). All existing and new Skrill USA Account holders are eligible to participate in the Promotion. Only one Reward per Account will be deposited, even if additional transactions are completed.
3.1.2. ensure that your Skrill USA Account is in good standing, and does not have a negative balance or is not locked.
3.1.3. successfully complete an Eligible Transaction.
3.1.4. not use your Skrill USA Account for commercial purposes.
3.1.5.be 18 years of age or older.
3.1.6. not be an employee or an immediate family member of employee of Skrill USA, Inc. or any other Paysafe group company. For avoidance of doubt, an “employee” includes contractors and secondees and an “immediate family member” shall mean any individual with any of the following relationships to the employee: a/ spouse, and parents thereof; b/ sons and daughters, and spouses thereof; c/ parents, and spouses thereof; d/ brothers and sisters, and spouses thereof; e/ grandparents and grandchildren, and spouses thereof; f/ domestic partner and parents thereof, including domestic partners of any individual in a/ through h/ of this definition; g/ any individual related by blood or affinity whose close association with the employee is the equivalent of a family relationship; or h) a person living in the same household of an employee.
3.1.7. not be a service provider or a direct family member of a service provider to any of the Paysafe group companies.
3.1.8.not have your Account registered or used in any country or location outside of the United States.
3.2. The above listed requirements are collectively referred to as the “Eligibility Criteria”. For the purpose of this Promotion, a “Participant” is a Skrill USA Account holder who is an end-user meeting all of the Eligibility Criteria. Skrill reserves the right to require a Participant to provide evidence demonstrating that they meet any or all of the Eligibility Criteria and may at its discretion disqualify any Participant if such evidence is not provided within a reasonable time period as stipulated by Skrill USA or if Skrill USA in its discretion, is not satisfied that the Eligibility Criteria are met.
3.3. The use of script, macro, or any automated system to enter the Promotion is prohibited, and entries made (or which appear to have been made) using any such system shall be treated as void. Any illegible, incomplete, or fraudulent entries shall be rejected. Skrill USA in its reasonable and sole discretion shall have the right to void a Participant’s entry in the Promotion under such circumstances.
3.4. Use of your Skrill USA Account in connection with this Promotion is subject to the Skrill USA Account Terms of Use.
4. Data Privacy
4.1. The processing of Participants’ data is governed by the Skrill USA Privacy Policy. Additional information may be required from a Participant by Skrill USA to verify compliance with these Promotion Terms & Conditions.
5. Legal Recourse & Limitation on Liability
5.1. A Participant is deemed to have accepted and agreed to be bound by these Promotion Terms & Conditions by entering this Promotion during the Promotion Period. Skrill USA reserves the right to refuse entry or refuse to issue a Reward to anyone in breach of these Promotion Terms & Conditions.
5.2. Skrill USA reserves the right to hold void, cancel, suspend, or amend the Promotion at any time at our sole discretion by sending written notice to the primary email address registered to your Skrill USA Account or by amending these Promotion Terms & Conditions. Skrill USA reserves the right to modify, cancel, terminate or suspend the Promotion in whole or in part, at its sole discretion, if it believes the Promotion is not capable of being conducted as specified within these Promotion Terms & Conditions or in the event of a computer virus or unauthorised human intervention or any other cause that is beyond the reasonable control of Skrill USA that could corrupt or affect the administration, security, impartiality or normal course of the Promotion..
5.3. Skrill USA reserves the right to remove a Participant from this Promotion where Skrill USA has reason to believe that a Participant breached or tried to breach these Promotion Terms & Conditions or attempted to circumvent any security or operational procedures, or any legal restriction or prohibition on this Promotion.
5.4. This Promotion does not apply to residents of U.S. states, territories, or jurisdictions where this Promotion is considered illegal, void, and/or prohibited.
5.5. All decisions by Skrill USA related to this Promotion are final and binding, and no further correspondence will be forthcoming from Skrill after such decision.
5.6. Release and Waiver of Liability: By redeeming this Promotion, Participant agrees to release, defend, indemnify and hold harmless Skrill USA, and its respective affiliates, merchant partners, advertising and promotion agencies, directors, officers, employees, representatives and agents from and against any and all liability claims or actions of any kind whatsoever (however named or described) for injuries, death, damages or losses to persons and property which may be sustained in connection with: (i) the Participant’s participation or attempted participation in the Promotion; or (ii) the receipt, use or misuse of the Reward; or iii) while preparing for, or participating in, any Promotion-related activity, including any damages caused by Skrill USA’s own negligence. Skrill USA expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use or misuse of any purchase, product, or service Participant obtains from the Chelsea Megastore in connection with this Promotion.
5.7. Limitation of Liability:
5.7.1. Skrill USA accepts no responsibility for participation not successfully completed due to a technical fault, technical malfunction, computer hardware or software failure, satellite, network or server failure of any kind, including in relation to the Chelsea Megastore. Skrill USA is not responsible for: (i) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network connection, or network hardware or software; (ii) unauthorized human intervention in any part of the Promotion participation process or any purchase or attempted purchase, delivery or attempted delivery from the Chelsea Megastore; (iii) technical or human error which may occur in the administration of this Promotion or the processing of purchases or delivery of products or services related Promotion participation; or (iv) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in this Promotion, or purchase, delivery, receipt or use or misuse of any purchase, product or service of the Chelsea Megastore or of the Reward.
5.7.2. Skrill USA is not responsible nor shall it be liable for: (i) any actions or failure to act or perform related to the Chelsea Megastore or any purchase or attempted purchase or delivery from the Chelsea Megastore; (ii) any alleged defect, discrepancy, or complaint related in any way to any purchase, product, service, or delivery of same, purchased or obtained by Participant from the Chelsea Megastore.
5.7.3. Skrill USA shall not be liable for delay in performing, or failure to perform, any of its obligations under the Promotion Terms & Conditions, if such delay or failure results from events, circumstances or causes beyond its reasonable control, such as but not limited to fire, flood, earthquake, adverse weather conditions, strike, war (declared or undeclared), embargo, blockade, pandemic, legal prohibition, governmental action, riot, insurrection, damage, destruction, flight or other transportation delays or cancellations.
5.7.4. Insofar as is permitted by law, Skrill USA, its agents or distributors will not under any circumstances be responsible or liable to compensate a Participant or prospective Participant, or accept any liability (whether direct, indirect, special, incidental, exemplary, punitive or consequential) for or in connection with the participation (or attempted participation) in the Promotion whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise. A Participant’s statutory rights are not affected. However, nothing in these Promotion Terms & Conditions excludes or limits in any way any liability for death or personal injury caused by Skrill’s negligence, for fraud or for any other matter where liability may not as a matter of law be excluded or limited.
5.7.5. LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, SKRILL USA SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, ECONOMIC, EXEMPLARY, PUNITIVE OR OTHER DAMAGES TO PARTICIPANT, PROSPECTIVE PARTICIPANT, OR ANY OTHER PERSON UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY, DIRECTLY OR INDIRECTLY, TO PARTICIPATION OR REDEMPTION OF THE PROMOTION, EVEN IF FORESEEABLE OR EVEN IF SKRILL USA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
6. General Provisions
6.1. Governing Law & Jurisdiction: All issues and questions concerning the construction, validity, interpretation and enforceability of these Promotion Terms & Conditions, or a Participant’s or Skrill USA’s rights and obligations, in connection with the Promotion shall be governed by, and construed in accordance with the laws of the United States and the state of Florida, without regard to conflicts or choice of law principles, and whether or not Participant is a resident of Florida. The federal and state courts in Duval County Florida shall have exclusive jurisdiction over any dispute or legal action with respect to the Promotion.
6.2. Translation: If there is any discrepancy between any translated version and the (original) English version of these Promotion Terms & Conditions, the English version shall prevail.
